The beneficial owner is the natural person who ultimately controls a company, trust, or foundation—or derives genuine economic benefit from it—regardless of who appears on the formal ownership record. For freight forwarders, customs brokers, and importers, identifying the beneficial owner during partner onboarding is a compliance requirement: layered holding structures, nominee arrangements, and cascading shareholdings can conceal whether an individual appears on a sanctions list such as the OFAC SDN list, EU designations, or UN embargoes. The identification process typically involves analysing company registry extracts, shareholder agreements, and ownership declarations to trace back to the ultimate natural person behind the legal structure. The beneficial owner is not necessarily the registered director or shareholder—those roles can be held by nominees who exercise no real control.
