> Hellmann is to take over Honold's consolidation business in Neu-Ulm. The agreed transition is scheduled for January 1, 2027.

---

Hellmann Worldwide Logistics and Honold have agreed on an acquisition in the German less-than-truckload (LTL) business. Effective January 1, 2027, Hellmann is to acquire the shares in Honold International GmbH & Co. KG, which operates the LTL freight forwarding business at the Neu-Ulm location. This is evident from the joint company announcement dated October 7.

Less-than-truckload (LTL) means that smaller shipments from various customers are combined for joint transportation. Fixed connections and established handover procedures are important for their processing. Neu-Ulm is already part of the NG.network less-than-truckload network today. With the planned transition, the location is intended to strengthen Hellmann's network in southern Germany.

Approximately 150 employees work in the affected business area. According to the announcement, their employment relationships are to continue unchanged. The property remains in the Honold portfolio and is to be leased to Hellmann long-term. Other Honold activities at the location are not affected by the transaction.

For customers, this is initially an announced change at the year-end. The announcement describes a purchase agreement with a future transfer date. It is therefore not evidence that Hellmann has already assumed the business today. Whether additional approvals are required is not explained in detail in the announcement.

In practice, shippers should inquire in good time about future procedures. Will booking channels, contact persons, and acceptance deadlines remain the same? Which company will issue invoices from the transition onward? And will master data or interfaces need to be adjusted? These points are best clarified before the first January shipment.

For freight forwarding partners, it is additionally recommended to review current quotations and annual agreements. New ownership does not automatically lead to new prices or shorter contract terms. What matters is which services are agreed upon in writing. The common goal of reliable continuation is helpful but does not replace a review of your own contract.

---

Prepare master data and invoice recipients as soon as partners provide binding information. Clarify outstanding shipments around the year-end transition. In short: The transition is planned, and operational changeover must be coordinated in a timely manner.
