It is a legal entity whose sole or primary purpose is to obscure beneficial ownership, enable tax avoidance, or circumvent sanctions by routing goods and funds through an empty legal wrapper. Red flags include the absence of identifiable employees, no tangible assets, a pure mailbox address, and an opaque ownership chain. Know-your-customer and beneficial ownership screening are the principal tools for detection. Unlike a front company—which may conduct real business to appear credible—a shell company carries out no operational activity whatsoever.
