Unlike pure price clauses, delivery terms define the precise point in a sales contract at which costs and risk shift from seller to buyer. They determine where goods change hands, who pays for transport, insurance and customs clearance, and where liability for loss or damage begins. In international trade, delivery terms are most commonly expressed through Incoterms—standardised ICC clauses such as EXW, FOB or DDP—though parties may also negotiate bespoke arrangements. An ambiguous or missing delivery term is one of the most frequent triggers for disputes between exporters, importers and freight forwarders. Banks and credit insurers examine delivery terms carefully when processing letters of credit and assessing trade credit risk.
