As a shipment nears its destination, the delivery deadline determines whether a transaction closes smoothly or triggers consequences: it is the contractually binding date or period by which goods must reach the consignee. It is established in the purchase contract, the freight order, or indirectly through the chosen Incoterms, and serves as the primary benchmark for supply chain on-time performance. Missing the deadline can activate penalty clauses, damage claims, or – depending on the contract – the buyer's right to withdraw from the agreement. Unlike a delivery date, which identifies a single calendar day, a delivery deadline may define an acceptance window within which delivery is considered timely.
